TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern access to and use of the Milan Women Network (“MWN”) website, membership services, events, activities, community channels and related services.
By registering for membership, purchasing a membership or event, registering for an event, or otherwise using the services offered by MWN, the user (“Member”) acknowledges having read and accepted these Terms, together with the applicable Privacy Policy and any specific terms disclosed in connection with an individual event, service or purchase.
These Terms shall be interpreted and applied in accordance with Italian law and applicable European Union legislation, including mandatory consumer protection provisions.

The website is operated through infrastructure provided by Wix.com and other third-party technical service providers.
2. Eligibility and Registration
Membership is intended for adult women who satisfy the eligibility requirements communicated by MWN.
Membership is personal, individual and non-transferable.
Applicants must provide accurate, complete and current information when registering and must promptly update such information where necessary.
MWN reserves the right, on reasonable and non-discriminatory grounds, to refuse an application, suspend access or terminate a membership in accordance with these Terms, particularly where necessary to protect the safety, integrity and proper functioning of the community.
Registration does not create any employment, agency, partnership, joint venture, fiduciary or professional relationship between MWN and the Member.
3. Membership Categories
MWN currently offers Base Membership and Core Membership.
3.1 Base Membership
Base Membership is provided without a recurring membership fee.
Base Members may access those events, services and activities expressly designated as available to Base Members.
Unless otherwise stated for a particular event, a €15 non-refundable registration fee applies to eligible events booked by Base Members, in addition to any event-specific costs.
Access to workshops, limited-capacity events and other activities may be subject to availability, waiting lists, eligibility requirements or separate conditions

3.2 Core Membership
Core Membership is a paid recurring membership currently priced at €20 per month.
Subject to availability and any specific conditions applicable to individual services or events, Core Membership may include:

priority booking for selected events;
-
waiver of standard MWN registration fees on all events;
-
access to Core-only events, activities and invitations;
-
access to private community channels;
-
access to the Members Directory;
-
access to the MWN Welcome Kit;
-
opportunities for professional or business visibility;
-
personal introductions, where appropriate;
-
selected partner benefits, invitations or offers.
The Core Membership fee does not include all costs associated with events or activities.
Additional charges may apply, including charges relating to food and beverages, admission tickets, transportation, accommodation, treatments, materials, classes, workshops or services supplied by third parties. Such charges shall be disclosed, where applicable, before registration or purchase.
MWN reserves the right to modify individual membership benefits from time to time, provided that material changes affecting an existing paid membership are communicated in accordance with applicable law.
4. Core Membership Subscription and Renewal
Core Membership operates as a recurring monthly subscription.
Unless cancelled, the applicable membership fee will be charged automatically at each renewal using the payment method selected at the time of purchase.
The applicable price, billing frequency and material subscription conditions shall be displayed before purchase.
Members are responsible for ensuring that their payment information remains valid and that sufficient funds are available for renewal.
Where a recurring payment cannot be successfully processed, access to Core benefits may be suspended or terminated within 3 days grace period.
5. Cancellation of Core Membership
A Member may cancel Core Membership at any time through the functionality made available in the Member's account or by contacting MWN where assistance is required.
Cancellation shall prevent subsequent automatic renewals.
Unless otherwise required by mandatory law, cancellation shall not result in a pro-rata refund of the current billing period, and Core benefits shall remain available until the end of that paid billing period ( 30 days )
Failure to attend events or make use of membership benefits during a billing period does not, in itself, create a right to reimbursement, credit, extension or transfer.
6. Payments
Payments made through the MWN website are processed through payment services integrated with the Wix platform.
MWN does not collect or store complete credit or debit card details.
Payment credentials are processed by the relevant third-party payment provider in accordance with its own contractual, security and privacy requirements.
MWN may receive limited transaction information necessary for administrative and accounting purposes, including the payer's name, transaction amount, payment status, date and transaction reference.
MWN does not own, operate or directly control the servers, payment infrastructure or technical systems operated independently by Wix or its payment service providers.
7. Event Registration
Participation in an event is subject to the eligibility, availability, pricing and registration conditions applicable to that event.
Members are responsible for reviewing all information made available before completing registration.
A registration shall be considered confirmed only once all required registration steps have been completed and any applicable payment has been successfully processed.
Event registrations are personal and may not be sold, assigned or transferred without prior authorisation from MWN.
MWN reserves the right to establish different booking periods, priority periods or eligibility conditions for different membership categories.
Priority booking does not constitute a guarantee of availability.
8. Event Fees and Third-Party Costs
Membership fees, MWN registration fees and event-specific charges are separate unless expressly stated otherwise.
Certain events may require payment of an additional participation fee or may involve costs for food and beverages, admission, transportation, accommodation, materials, treatments, activities or other services.
Core Members are not charged the standard MWN registration fee on events. Base Members are subject to a €15 registration fee per eligible event, which is non-refundable in all cases, including where the event participation fee itself is eligible for a refund.
Certain events may involve products or services supplied by independent venues, transportation providers, hospitality providers, instructors, professionals or other third parties.
Where payment is made directly to such a provider, the Member enters into a separate contractual relationship with that provider in respect of the relevant product or service.
Any applicable third-party terms, cancellation conditions and refund policies may therefore apply independently of these Terms.
9. Event Cancellation by Members and Refunds
Unless different cancellation terms are expressly stated on the relevant event page, the following policy shall apply:
9.1 Core Members
Where a Core Member has paid an event-specific participation fee:
-
cancellation made at least 72 hours before the scheduled start of the event: 100% refund of the event participation fee;
-
cancellation made between 48 and 72 hours before the scheduled start of the event: 50% refund of the event participation fee;
-
cancellation made less than 48 hours before the scheduled start of the event, or failure to attend without cancellation: no refund.
9.2 Base Members
Where a Base Member has paid an event-specific participation fee:
-
cancellation made at least 72 hours before the scheduled start of the event: 100% refund of the event participation fee;
-
cancellation made less than 72 hours before the scheduled start of the event, or failure to attend without cancellation: no refund.
The €15 Base Member registration fee is non-refundable and is excluded from any refund of an event participation fee.
9.3 Event-Specific Conditions
Certain events may be subject to different cancellation or refund conditions due to advance payments, third-party ticketing, transportation, accommodation, limited-capacity reservations or contractual commitments with venues and service providers.
Where different conditions apply, they shall be clearly communicated before registration and shall take precedence over the standard cancellation policy set out above.
Where payment is made directly to a venue or independent provider, the cancellation and refund policy of that provider shall apply to the relevant payment.
9.4 Gift Card in Lieu of Refund
Where a Member is entitled to a refund under the cancellation policy above, the Member may request, instead of receiving a monetary refund, a gift card for the equivalent refundable amount.
The gift card shall:
-
be issued for the full amount otherwise eligible for refund;
-
be valid for 60 days from the date of issue;
-
be used toward any MWN events or services available during the validity period;
-
have no cash value and may not subsequently be exchanged for a monetary refund.
The gift card option applies only to amounts otherwise eligible for refund and does not include the non-refundable €15 Base Member registration fee. Any unused balance remaining after the 60-day validity period shall expire, subject to any mandatory rights under applicable law.
10. Cancellation or Modification of Events by MWN
MWN reserves the right to cancel, postpone, reschedule or reasonably modify an event where required due to operational circumstances, insufficient participation, venue requirements, safety considerations, force majeure or circumstances outside MWN's reasonable control.
Modifications may include changes to the venue, schedule, programme, host, speaker, capacity or other organisational details.
MWN shall use reasonable efforts to notify registered participants of material changes.
Where MWN cancels a paid event, amounts paid directly to MWN in respect of that event shall be refunded where required by the applicable booking terms or law.
MWN shall not be responsible for costs independently incurred by a Member, including transportation, accommodation or other ancillary expenses, except where liability cannot lawfully be excluded.
11. Attendance and No-Shows
Members who are unable to attend an event are requested to cancel their registration as soon as reasonably possible.
Where events have limited capacity, repeated failure to attend confirmed bookings without reasonable notice may adversely affect other Members' ability to participate.
MWN therefore reserves the right, following repeated or material no-shows, to restrict a Member's access to priority booking or future event registrations for a reasonable period.
Any such measure shall be applied proportionately and having regard to the circumstances.
12. Member Conduct
Members shall conduct themselves in a respectful and lawful manner in all interactions connected with MWN.
The following conduct is prohibited:
-
harassment, intimidation, threatening or abusive conduct;
-
discriminatory conduct;
-
conduct that reasonably compromises the safety or dignity of another participant;
-
unauthorised collection or distribution of personal information;
-
systematic unsolicited commercial solicitation;
-
misuse of private community channels;
-
fraudulent or misleading conduct;
-
conduct that materially disrupts an event or community activity.
Professional exchange, recommendations and commercial relationships between Members are permitted where conducted respectfully and without unsolicited mass promotion.
MWN reserves the right to take proportionate measures in response to conduct that breaches this section, including warnings, removal from an event, suspension from community channels or termination of membership.
13. Private Community Channels
Core Members are granted access to private WhatsApp groups and other communication channels.
Access is personal and may be withdrawn upon expiry, cancellation, suspension or termination of the relevant membership.
Members shall respect the confidential and personal nature of information shared by other participants.
Members may not systematically collect, reproduce, publish, distribute, sell or otherwise exploit contact information, conversations or personal information obtained through private community channels without the relevant individual's permission.
Third-party communication platforms, including WhatsApp, operate independently from MWN and are subject to their own terms, privacy policies and technical systems.
14. Members Directory
Access to and participation in the Members Directory may be made available as a membership benefit.
Submission of information for publication in the Directory is voluntary.
Members are responsible for the accuracy and lawfulness of information they submit and for ensuring that they hold the necessary rights to any content provided.
Directory information may not be systematically extracted, reproduced, sold, redistributed or used for unsolicited mass marketing.
The presence of a Member, business, service or professional activity in the Directory does not constitute certification, verification, endorsement or guarantee by MWN.
Members remain responsible for conducting their own assessment before entering into any professional, personal or commercial relationship with another Member.
15. Photography, Video and Event Content
Photography and video recording may take place at MWN events.
Participants shall be informed where photography or filming is planned, and consent shall be obtained where required under applicable law.
The collection and use of photographs, video recordings and other personal data are governed by the MWN Privacy Policy and any specific information or consent provided in connection with the relevant event.
A Member who does not wish to be photographed or filmed should follow the procedure communicated during registration or notify MWN before the relevant event.
16. Partners, Collaborations and Third-Party Services
MWN may collaborate with brands, venues, cultural institutions, professionals and other independent organisations.
Such collaborations do not make the relevant third party an agent, employee or representative of MWN unless expressly agreed otherwise.
Where a Member independently purchases, books or uses a product or service provided by a third party, that transaction is governed by the contractual terms applicable between the Member and that third party.
MWN exercises reasonable care in selecting collaborations but does not warrant or guarantee the performance, suitability, quality or availability of independently supplied products or services.
17. Introductions, Recommendations and Professional Relationships
MWN may facilitate introductions between Members or between Members and third parties and may communicate professional, business or other opportunities.
Unless expressly stated otherwise, such introductions and recommendations are provided for informational and community purposes only.
They do not constitute professional advice, due diligence, certification, employment placement, representation or a guarantee of any particular result.
MWN is not a party to agreements subsequently entered into independently between Members or between a Member and a third party.
Each party remains responsible for conducting appropriate due diligence before entering into any commercial, professional or personal arrangement.
18. Member Accounts
Members are responsible for maintaining the confidentiality of their account credentials and for activity carried out through their account.
Accounts and membership rights may not be shared or transferred.
Members must notify MWN promptly if they reasonably believe their account has been accessed without authorisation.
Certain website and account functionality is provided through Wix and other third-party technical infrastructure. MWN does not warrant that third-party systems will be continuously available, error-free or uninterrupted.
19. Intellectual Property
Unless otherwise indicated, all rights in MWN branding, logos, original website content, Blog posts, written materials, graphics, event materials and other original content created or owned by MWN are reserved.
Such materials may not be copied, reproduced, modified, distributed, published or commercially exploited without prior written authorisation, except where permitted by applicable law.
Members retain ownership of original content submitted by them.
Where a Member submits content for publication, including an article, photograph, testimonial, Members Directory listing or other contribution, the applicable permission to publish or use such content may be established through the relevant submission process or a separate agreement.
20. Member-Generated Content
A Member submitting content to MWN represents that she is entitled to provide such content and that its publication or use in the manner agreed will not knowingly infringe the rights of another person.
MWN reserves the right to moderate, edit, decline or remove submitted content for legitimate editorial, legal, privacy, operational or community reasons.
MWN does not guarantee the accuracy or reliability of statements, recommendations or opinions independently expressed by Members.
21. Health, Safety and Participation at Own Risk
Certain events may involve physical activity, wellness activities, travel, food, alcoholic beverages or other activities requiring individual assessment.
Members are responsible for determining whether participation is suitable for their personal circumstances and for following reasonable safety instructions provided by organisers, venues or qualified professionals.
Where relevant, Members are responsible for communicating allergies, dietary requirements or other necessary information through the process provided for the relevant event.
Information communicated through MWN does not constitute medical, legal, financial, psychological or other regulated professional advice unless expressly provided by an appropriately qualified person acting in that professional capacity.
22. Limitation of Liability
MWN shall exercise reasonable care in the organisation and administration of its services and activities.
To the maximum extent permitted by applicable law, MWN shall not be liable for losses or damages resulting from:
a. circumstances outside its reasonable control;
b. acts or omissions of independent third-party providers;
c. independent arrangements or transactions entered into between Members;
d. unauthorised or improper use of information obtained through community channels;
e. reliance on information or opinions independently provided by Members or third parties; or
f. interruption or malfunction of third-party technology or infrastructure outside MWN's direct control.
Nothing in these Terms shall exclude or limit liability for fraud, wilful misconduct, gross negligence where such liability cannot be excluded, death or personal injury where legally applicable, or any other liability or consumer right that cannot lawfully be excluded or limited under Italian or European Union law.
23. Suspension and Termination
MWN may suspend or terminate membership where a Member:
-
materially or repeatedly breaches these Terms;
-
engages in unlawful, fraudulent, abusive or seriously inappropriate conduct;
-
misuses Member information or private community channels;
-
materially compromises the safety or integrity of the community;
-
fails to pay amounts lawfully due in respect of a paid membership.
Where reasonably appropriate, MWN may provide notice or an opportunity to address the relevant breach before termination.
Immediate suspension or termination may be applied where reasonably necessary for safety, legal compliance or prevention of serious harm.
The consequences of termination, including any entitlement to reimbursement, shall be determined in accordance with the circumstances, applicable contractual provisions and mandatory law.
24. Privacy and Data Protection
Personal data is processed in accordance with the General Data Protection Regulation (EU) 2016/679, applicable Italian data protection legislation and the MWN Privacy Policy.
The Privacy Policy forms an integral part of the framework governing use of MWN services and provides further information concerning membership data, event registrations, photographs and video, community channels, the Members Directory, Wix infrastructure and third-party service providers.

25. Amendments to Membership Services
MWN reserves the right to develop, amend, replace or discontinue individual services, features or membership benefits where reasonably necessary for operational, commercial, technical or legal reasons.
Any material change adversely affecting an existing paid membership shall be communicated in accordance with applicable law.
No amendment shall prejudice mandatory consumer rights.
26. Amendments to These Terms
MWN may amend these Terms where necessary to reflect changes in its services, membership structure, legal obligations, technical systems or operational requirements.
The current version shall be published on the website together with the date of the latest revision.
Where required by applicable law, Members shall receive appropriate notice of material changes.
No amendment to these Terms shall operate retroactively to deprive a consumer of rights already acquired under mandatory law.
27. Severability
If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision shall be interpreted or limited to the minimum extent necessary, where legally possible, and the remaining provisions shall remain in full force and effect.
28. No Waiver
Failure or delay by MWN in exercising any right under these Terms shall not constitute a waiver of that right.
29. Governing Law and Jurisdiction
These Terms and any contractual relationship arising from membership or use of MWN services shall be governed by the laws of Italy.
Where the Member qualifies as a consumer, any mandatory jurisdiction and consumer protection rights provided under Italian and European Union law shall remain fully applicable.
Nothing in these Terms shall restrict a consumer from relying upon mandatory protections available under the law applicable to her place of residence where such protections cannot lawfully be excluded.
